Terms of Service — Keisuite

1. Agreement to Terms

These Terms of Service ("Terms") form a binding legal agreement between you ("you" or "User") and Keisuite ("Keisuite," "we," "us," or "our") governing your access to and use of the Keisuite platform, including its website, web application, APIs, and all related services (collectively, the "Service").

By creating an account, purchasing credits, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Service.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

2. Description of Services

Keisuite is an AI-powered product studio built for wine merchants selling on Shopify. The Service consists of three core capabilities:

AI Photo Enhancement. You upload wine bottle photographs, and our system uses OpenAI's image models to produce professional studio-quality images — including background removal, lighting correction, and clean white-background rendering.
AI Product Copy and Metafields. Using OpenAI's language models, the Service generates wine product descriptions, tasting notes, and Shopify metafield data (such as varietal, region, producer, ABV, and pairing suggestions) based on the wine's name and any additional context you provide.
Shopify Publishing. With your authorization, the Service connects to your Shopify store and creates or updates product listings — including images, titles, descriptions, and metafields — directly through the Shopify API.

The Service is delivered as a web application accessible at keisuite.com. We reserve the right to modify, expand, or discontinue any feature of the Service at any time, with reasonable notice where practical.

3. Eligibility

To use Keisuite, you must:

Be at least 18 years of age;
Have the legal capacity to enter into a binding contract under applicable law;
Own or operate a Shopify store (or be authorized to act on behalf of the store owner); and
Be located in, or operate a business from, a jurisdiction where use of the Service is lawful.

Because Keisuite is designed for wine merchants, you are also responsible for ensuring that your use of the Service complies with all laws applicable to the sale, marketing, and distribution of alcoholic beverages in your jurisdiction. Keisuite does not provide legal, compliance, or regulatory advice.

4. Account Registration

Access to Keisuite requires creating an account through Clerk, our third-party authentication provider. You will be asked to provide your email address and create a password, or authenticate using a supported third-party sign-in method (such as Google).

You are responsible for:

Providing accurate and up-to-date registration information;
Maintaining the confidentiality of your login credentials;
All activity that occurs under your account, whether or not you authorized it; and
Notifying us promptly at guido@primalwine.com if you suspect unauthorized access to your account.

You may not share your account credentials with others or create accounts on behalf of third parties without their knowledge. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

5. Credits and Payments

Keisuite operates on a prepaid credit model. You purchase credits in advance, and each job (photo enhancement, copy generation, or publishing action) deducts a defined number of credits from your balance. There is no subscription; you pay only for what you use.

Available credit packages:

Starter — $9 for 20 credits
Growth — $40 for 100 credits
Pro — $110 for 300 credits
Custom — $0.45 per credit (minimum purchase of 50 credits)

Credits never expire. Once purchased, your credit balance remains available indefinitely unless your account is terminated for a material breach of these Terms.

Payments are processed by Stripe. By purchasing credits, you authorize Stripe to charge your provided payment method for the selected package amount. All prices are in US dollars and exclusive of any applicable taxes, which are your responsibility.

No refunds. All credit purchases are final and non-refundable, except in the following circumstances:

A documented technical failure on our end that prevented a job from completing and caused credits to be deducted incorrectly; or
We discontinue the Service entirely, in which case we will refund the value of unused credits on a pro-rata basis.

To request a refund under these exceptions, contact us at guido@primalwine.com within 30 days of the issue occurring.

We reserve the right to change credit pricing with at least 30 days' notice. Price changes will not affect credits you have already purchased.

6. Acceptable Use

You agree to use Keisuite only for lawful purposes and in accordance with these Terms. You must not:

Use the Service in any way that violates applicable federal, state, local, or international law or regulation;
Upload images or submit content that is illegal, infringing, obscene, defamatory, or otherwise objectionable;
Attempt to circumvent credit deductions, exploit pricing errors, or manipulate job tracking systems;
Use automated scripts, bots, or tools to scrape, crawl, or systematically extract data from the Service;
Attempt to reverse-engineer, decompile, or disassemble any part of the Service or its underlying infrastructure;
Interfere with or disrupt the integrity or performance of the Service, or the servers and networks connected to it;
Use the Service to generate content that is misleading, fraudulent, or likely to deceive consumers about a product's characteristics;
Resell or sublicense access to the Service or your account to third parties without our prior written consent; or
Attempt to gain unauthorized access to any account, system, or network associated with Keisuite.

We reserve the right to investigate suspected violations and, at our discretion, suspend or terminate access and pursue available legal remedies. If you become aware of any misuse of the Service, please report it to guido@primalwine.com.

7. Intellectual Property

Keisuite's platform. The Service, including its software, design, user interface, workflows, prompts, documentation, and all other proprietary materials, is owned by Keisuite and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the platform itself. You receive only a limited, non-exclusive, non-transferable license to use the Service as described here.

Your original content. You retain full ownership of the images, text, and other materials you upload to or provide through the Service. Keisuite does not claim ownership of your original photographs or product information.

AI-generated output. The enhanced images and product copy produced by the Service using your inputs are considered output generated for your use. To the extent any intellectual property rights subsist in AI-generated output under applicable law, those rights are assigned to you. You are responsible for ensuring that your use of AI-generated output complies with any third-party terms governing the underlying AI models (including OpenAI's usage policies).

8. Your Content and License

By uploading images or providing other content through the Service, you grant Keisuite a limited, non-exclusive, worldwide, royalty-free license to process, transmit, and store your content solely for the purpose of providing the Service to you.

This license is strictly limited:

We use your images only to deliver the photo enhancement service you requested — specifically, by sending them to OpenAI's API for processing.
We do not use your images to train, fine-tune, or improve any AI model, whether operated by Keisuite or any third party.
Uploaded images are stored temporarily (approximately 24 hours) and then permanently deleted from our systems. See our Privacy Policy for details.
We do not display, share, or publish your images to any party other than those necessary to provide the Service (e.g., OpenAI for processing, your Shopify store for publishing).

You represent and warrant that: (a) you own or have the necessary rights to the content you upload; (b) your content does not infringe or violate any third party's intellectual property or other rights; and (c) you have obtained all necessary consents and permissions required for us to process your content as described.

9. Third-Party Services

Keisuite integrates with several third-party services to deliver its functionality. Your use of the Service is also subject to the terms and privacy policies of these providers:

Shopify — for connecting to and publishing products to your store. Your use of Shopify is governed by Shopify's Terms of Service and Partner Agreement.
OpenAI — for AI image enhancement and product copy generation. Images and text you submit are processed by OpenAI's API and governed by OpenAI's usage policies and privacy practices.
Stripe — for payment processing. Your payment information is governed by Stripe's Terms of Service and Privacy Policy. Keisuite never has access to your full card number or CVV.
Clerk — for authentication and account management. Your sign-in credentials and session data are managed by Clerk in accordance with their Privacy Policy.

Keisuite is not responsible for the availability, reliability, accuracy, or actions of any third-party service. If a third-party service experiences an outage or change in policy that affects the Service, we will make reasonable efforts to communicate this to you, but we are not liable for resulting disruptions or losses.

Links to third-party websites or services do not constitute endorsement by Keisuite.

10. AI-Generated Content Disclaimer

AI-generated content — including wine descriptions, tasting notes, and metafield data — may contain inaccuracies, omissions, or errors. You must review all AI output carefully before publishing it to your Shopify store or elsewhere.

The Service uses large language models operated by OpenAI to generate product copy. These models are probabilistic and can produce plausible-sounding but incorrect descriptions of wine characteristics (e.g., flavor profiles, producer details, geographic designations, vintage information). They do not have access to live databases or verified wine encyclopedias.

Specifically, you understand and agree that:

AI-generated tasting notes, descriptions, and pairing suggestions are suggestions only, not verified facts;
You are solely responsible for verifying the accuracy of any content before it is published to consumers;
Keisuite makes no warranty that AI output accurately represents any particular wine, producer, vintage, or region;
Keisuite is not responsible for consumer complaints, regulatory issues, or commercial harm arising from inaccurate AI-generated content that you publish; and
The enhanced images produced by AI may vary in quality and may not perfectly match the original product. You should review all enhanced images before using them in commerce.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KEISUITE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS;
WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT; AND
WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS OR PRODUCE ANY PARTICULAR COMMERCIAL RESULT.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, our liability is limited to the minimum extent required by law.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KEISUITE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE — REGARDLESS OF THE FORM OF THE ACTION OR THE BASIS OF THE CLAIM — WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO KEISUITE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT WILL KEISUITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF KEISUITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply whether a claim is based on contract, tort (including negligence), strict liability, or any other legal theory, and even if any limited remedy has failed of its essential purpose.

Some jurisdictions do not allow limitations on implied warranties or exclusions of certain categories of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Keisuite and its officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms;
Your use or misuse of the Service;
Content you upload, submit, or publish through the Service, including any claim that it infringes a third party's intellectual property or other rights;
Your violation of any applicable law or regulation, including laws governing the sale and marketing of alcoholic beverages; or
Any claim by a third party (including your customers) arising from AI-generated content you published without adequate review.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with us in any such defense.

14. Termination

Termination by you. You may stop using the Service and close your account at any time by contacting us at guido@primalwine.com. Unused credits are non-refundable upon voluntary account closure, except as described in Section 5.

Termination by Keisuite. We reserve the right to suspend or permanently terminate your access to the Service, with or without notice, if:

You materially breach these Terms and fail to cure the breach within 7 days of written notice (where the breach is capable of cure);
You engage in behavior that poses a security risk or legal exposure to Keisuite or other users;
You engage in fraudulent, abusive, or illegal activity through the Service; or
Continued provision of the Service to you becomes technically or commercially impractical.

Effect of termination. Upon termination, your right to access the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy. Sections 6, 7, 10, 11, 12, 13, and 16 will survive termination of these Terms.

15. Changes to Terms

We may update these Terms from time to time. For material changes — such as changes to pricing, liability, or your legal rights — we will provide at least 30 days' advance notice by email to the address associated with your account, or by displaying a prominent notice within the Service.

For non-material changes (such as clarifications, formatting updates, or changes required by law), we may update these Terms with shorter notice or no notice. The current version of the Terms will always be available at keisuite.com/terms.

Your continued use of the Service after any changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service before they take effect.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

Before filing any formal legal claim, you agree to first contact us at guido@primalwine.com and attempt to resolve the dispute informally for at least 30 days. This does not prevent either party from seeking injunctive or other equitable relief where appropriate.
